The Ethics Compliance Counsel for the US & Canada Geozones will manage ethics compliance matters within the Geozones as well as work among a team of global compliance professionals on enterprise-wide compliance initiatives at this multinational oilfield services company. The position will report to the Associate General Counsel. The position will have no direct reports at this time.
DUTIES & RESPONSIBILITIES:
Provide prompt advice on all ethics compliance matters and inquiries to business and functional partners within the Geozones;
Revise and negotiate compliance contract clauses as well as responses to client and other third-party compliance questionnaires, and other similar inquiries;
Conduct live and online training on ethics compliance and business ethics policies and procedures; as well as applicable local law;
Conduct the requisite due diligence associated with travel, gift and entertainment, donation and sponsorship requests requiring Compliance approval;
Manage and execute compliance due diligence procedures relating to proposed third party intermediaries, mergers and acquisitions, and joint venture formations, as applicable, for presentation to the management;
Advise on and implement compliance integration efforts in acquired entities and joint ventures, as applicable;
Lead internal compliance investigations and audits as well as with implementation of remediation plans;
Assist during compliance audits conducted by third parties;
Monitor external developments in compliance, including laws and regulations, government investigations, and industry best practices;
Formulate recommendations regarding manners of addressing Geozone-specific areas of compliance vulnerability and risks and implement the same;
Supervise and coordinate with outside compliance counsel as needed;
Participate in enterprise-wide compliance related initiatives, including revision of compliance policies and procedures, as needed; and
Perform various other duties assigned by supervisor within the physical constraints of the job.
University & law degrees
Experience relating to corporate compliance
Oil and gas sector experience a plus but not required.
Fluency in written and spoken English.
Exceptional analytical, communication (written and verbal), presentation and time management skills.
Ability to handle sensitive, confidential matters and exercise sound discretion and judgment.
Strong attention to process and detail.
Capable of working independently or in a team as needed, assuming significant responsibility, and being a self starter.
Able and willing to travel up to 15% of working time.
Minimum of eight (8) years' experience relating to corporate compliance preferred.
License to practice law in the US preferred.
