Provided different services to the oil industry through three McDermott family-owned businesses: J. Ray McDermott & Co., Elmax Construction, and Stall & McDermott.

Hired the company’s first construction crew, a team of six.

Opened a New Orleans, Louisiana, office.

Introduced the first use of floating drilling equipment in low-lying marshlands of Texas and Louisiana.

Purchased J.G. McMullen Dredging Company and established it as the Olsen Dredging Company.

Reorganized the multiple McDermott family business operations into one: J. Ray McDermott & Co., Inc. of Delaware.

Designed and installed the first fixed platform made of steel out-of-sight-of-land, in 20 feet of water in the Gulf of Mexico for Superior Oil.

Established a contracting division, which was the major operating segment during the early years.

Acquired assets of Harry F. Allsman Company, McDermott’s joint venture partner for several contracting jobs in the Gulf of Mexico, which provided equipment to meet the new demand for offshore construction.

Commissioned construction of the first vessel designed specifically for offshore work (Derrick Barge 4).

The company’s Oil Division was organized.

Job Description

Job Overview:

McDermotthas an immediate opening for a Bilingual Sr. Attorney in the Houston Area. The Sr.Attorney is responsible for Supporting preparation, negotiation and implementation of Subcontractsand Purchase Orders, including preparing standard forms with EPC flow downs forproject execution teams.


  • Assisting/advisingin preparation and negotiation of Change Orders, Extensions of Time and Claimsraised by Clients, Vendors, Subcontractors and McDermott
  • Variousethics and compliance responsibilities to include investigations, due diligenceand training
  • Reviewing andnegotiating Secrecy Agreements and Interoffice Agreements
  • ReviewingProposals / ITBs, preparing contract deviations and managing negotiations fornew opportunities (which includes reviewing EPC Contracts terms and conditions,pricing/payment schedules, scope of work, project procedures and execution scheduleson lump sum, unit rate and reimbursable contract models) for small to mediumsized projects
  • Advising onEPC Projects in varying jurisdictions and working with and understandingforeign governing/applicable law, including facilitating, understanding andapplying specialized legal advice from such jurisdictions
  • Ensuringproject contracts are consistent with the McDermott project objectives andMcDermott policies while avoiding onerous liabilities
  • Coordinatingproject reviews by insurance experts
  • Advising onand review of financial instruments (e.g., letters of credit, bank guarantees)and project finance documentation
  • Participatingin management review meetings
  • Advising onand review of Parent Company Guarantees and advise on corporate house-keeping matterslike setting up or close out of offices/entities
Basic Qualifications:
  • 5-10 years experience
  • Bilingual (English/Spanish)
  • Understandingof EPC contracting preferably in the Oil, Gas and Power sector
  • Excellentwritten and verbal communication skills
  • Ability tonegotiate
  • Flexibleattitude
  • Ability towork independently
  • Ability totravel to projects and offices around the world (travel /- 25% expected)
